1. Description of Dronely
1.1Dronely is an online marketplace and technology platform designed to connect individuals and businesses seeking drone-related services ("Clients") with individuals and businesses offering drone-related services ("Service Providers").
1.2Dronely may provide tools and services that allow users to create accounts and profiles, post and search for drone-related jobs, apply for jobs, communicate about jobs, manage job workflows, submit and receive invoices, process payments, receive payments through third-party payment providers, obtain or explore insurance options, upload photographs and videos, display professional qualifications, receive and provide reviews, verify professional credentials, and manage job-related information.
1.3Dronely is a technology platform and marketplace. Unless expressly stated otherwise in a separate written agreement, Dronely is not the employer of a Service Provider, the contractor performing a drone service, the drone operator, the insurer of a user, the insurance provider, a party to the underlying service agreement between a Client and Service Provider, or responsible for the actual performance of services by a Service Provider.
2. Eligibility
2.1Dronely is currently intended for users located in the United States.
2.2You must be at least 18 years old and legally capable of entering into binding agreements to use the Platform.
2.3By using Dronely, you represent and warrant that you are at least 18 years old, are located in the United States, provide accurate and current information, have authority to enter into agreements on behalf of any business you represent, will comply with applicable laws and regulations, and are not prohibited from using the Platform under applicable law.
3. User Accounts
3.1Certain features require an account. You are responsible for providing accurate information, keeping information current, maintaining login security, preventing unauthorized access, and activity conducted through your account.
3.2You may not create an account using false information, impersonate another person or business, or create an account for another person without authorization.
4. FAA and Professional Credentials
4.1Users seeking to perform drone-related work through Dronely may be required to provide evidence of applicable FAA certification, licensing, registration, or other professional qualifications.
4.2Dronely may require Service Providers to upload photographs, scans, or digital images of FAA licenses, FAA certificates, professional credentials, certifications, registrations, or other documentation reasonably necessary for verification.
4.3Dronely may process submitted credential images through its verification system using automated technology, third-party verification services, manual review, or a combination of these methods.
4.4Dronely generally intends to delete the original credential image after verification is completed. However, Dronely may temporarily retain the credential image when verification fails, information is inconsistent or incomplete, the credential appears altered or fraudulent, a technical issue prevents verification, additional verification is required, manual review is necessary, or retention is reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, or another legitimate business purpose.
4.5Once additional verification is completed and the credential image is no longer reasonably necessary, Dronely will generally delete the image, subject to applicable legal or legitimate retention requirements.
4.6Dronely may retain verification results or limited credential-related information such as verification status, credential type, expiration status, verification date, or other information reasonably necessary to maintain a user’s verified status.
4.7A successful verification does not constitute FAA approval, FAA certification, legal advice, regulatory approval, or authorization to perform a particular drone operation.
4.8Service Providers remain solely responsible for maintaining all licenses, certificates, registrations, waivers, authorizations, insurance, and other qualifications required by law.
5. Jobs and Service Agreements
5.1Clients may post jobs through the Platform. Service Providers may respond by submitting applications, proposals, bids, offers, or other responses.
5.2Jobs may include aerial photography, aerial videography, real estate photography, construction documentation, inspections, mapping, surveying, agricultural drone services, events, commercial drone operations, infrastructure inspections, marketing content, and other lawful drone-related services.
5.3The actual agreement to perform a job is generally between the Client and Service Provider. Users are responsible for agreeing upon scope of work, deliverables, price, deadline, job location, cancellation terms, rescheduling terms, required permissions, insurance requirements, flight requirements, and other applicable conditions.
5.4Dronely does not guarantee the performance, quality, safety, legality, timeliness, or outcome of a job.
6. Dronely Is Not an Employer
6.1Unless expressly stated otherwise, Service Providers are independent businesses or independent contractors.
6.2Dronely does not employ Service Providers, guarantee employment, guarantee a minimum amount of work, guarantee income, control the manner in which a Service Provider performs work, determine a Service Provider’s tax obligations, or create an employment relationship between Dronely and a Service Provider.
7. Payment Processing
7.1Clients may be required to pay invoices associated with completed jobs through the Dronely Platform. Dronely uses Stripe Connect to facilitate payments and payouts between Clients and Service Providers.
7.2Stripe is a third-party payment provider. Service Providers may be required to create a Stripe-connected account and complete Stripe’s identity, business, tax, banking, and other verification requirements.
7.3Payments may be subject to verification, fraud review, holds, disputes, refunds, chargebacks, payment reversals, banking delays, and other payment-provider processes. Dronely does not guarantee a particular payout date or time.
8. Dronely Service Fee
8.1Dronely currently charges a 10% service fee on amounts paid to Service Providers for jobs completed through the Platform. The Dronely service fee is deducted from the Service Provider’s earnings.
8.2Example: If a Client agrees to pay a Service Provider $1,000, the Dronely service fee is $100 and the Service Provider amount before other applicable fees or adjustments is $900.
8.3The Dronely fee may be automatically deducted from the transaction before funds are made available to the Service Provider. Any Stripe fees, payment-processing fees, payout fees, chargeback-related fees, taxes, refunds, or other applicable amounts may be separate from Dronely’s 10% service fee.
8.4Dronely may change its service fee in the future. Material changes will generally apply prospectively to transactions initiated after the applicable effective date.
9. Stripe Connect Accounts and Payouts
9.1Service Providers may be required to establish a connected account through Stripe Connect. Stripe may request legal, business, tax, banking, identity, beneficial ownership, and other information required for compliance.
9.2Stripe may independently verify information and may restrict, suspend, or terminate connected accounts. Dronely is not responsible for payout delays resulting from incomplete Stripe onboarding, failed verification, incorrect banking information, Stripe account restrictions, payment disputes, fraud reviews, banking delays, or other circumstances outside Dronely’s reasonable control.
10. Taxes
10.1Service Providers are solely responsible for determining and satisfying their tax obligations arising from payments received through Dronely. Dronely does not provide tax, accounting, or legal advice.
10.2Where required by law, Dronely or Stripe may collect, report, or provide information concerning payments or tax reporting.
11. Cancellations and Job Changes
11.1Clients and Service Providers should establish cancellation and rescheduling terms before beginning a job. A cancellation may result in payment obligations depending on the agreement between the Client and Service Provider and applicable law.
11.2Dronely may provide tools for cancelling or modifying jobs but does not guarantee that a cancellation eliminates contractual obligations between users. Dronely’s Refund and Cancellation Policy governs refunds processed through Dronely.
12. Refunds and Payment Disputes
12.1Refunds are governed by Dronely’s Refund and Cancellation Policy. Dronely does not automatically guarantee a refund because a Client is dissatisfied with a Service Provider’s work.
12.2Dronely may delay, reverse, or adjust payments where reasonably necessary to address fraud, unauthorized transactions, chargebacks, payment errors, Platform errors, violations of these Terms, or legal requirements.
13. Insurance
13.1Dronely may provide tools, information, referrals, or connections intended to assist users in obtaining drone-related insurance. Dronely is not itself an insurance company unless expressly stated otherwise.
13.2Insurance products may be provided by independent insurance companies, brokers, agents, or other third parties. Insurance coverage is governed solely by the applicable policy and its terms, conditions, exclusions, limits, and requirements.
13.3Dronely does not guarantee availability of insurance, eligibility, coverage for a particular job, coverage for a particular aircraft or operation, or that any policy is sufficient for a user’s needs.
14. Compliance With Drone Laws
14.1Users are solely responsible for complying with applicable federal, state, and local laws concerning drone operations, including FAA certification, aircraft registration, Remote ID, airspace restrictions, waivers and authorizations, operating limitations, privacy, trespass, property permissions, insurance, state requirements, and local requirements.
14.2Dronely does not provide aviation or legal advice.
15. User Profiles
15.1Users may create profiles containing information about themselves or their businesses, including names, business names, biographies, professional experience, qualifications, service areas, photographs, videos, portfolio materials, reviews, website links, and social media links.
15.2Users are responsible for ensuring that information is accurate and that they possess the rights necessary to upload and display it.
16. Photos and Videos
16.1Users may upload limited photographs and videos to their profiles or in connection with jobs.
16.2By uploading content, you represent that you own the content or have permission to use it, your use does not infringe another person’s rights, necessary releases or permissions have been obtained where applicable, and the content does not violate applicable law.
17. Reviews and Ratings
17.1Reviews must reflect genuine experiences.
17.2Users may not submit fake reviews, review themselves, purchase or sell reviews, offer compensation for positive or negative reviews, threaten another user regarding a review, intentionally submit fraudulent information, or manipulate ratings.
17.3Dronely may remove reviews that violate these requirements.
18. User Content
18.1You retain ownership of content you submit to Dronely, including photographs, videos, descriptions, reviews, and profile information.
18.2By submitting User Content, you grant Dronely a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and modify the content as reasonably necessary to operate the Platform, provide Platform features, display profiles, facilitate jobs, improve the Platform, promote Dronely, and provide related services.
19. Prohibited Content and Conduct
19.1Users may not use Dronely to commit illegal activity, provide false identity information, provide fraudulent credentials, misrepresent FAA qualifications, conduct fraudulent transactions, circumvent Dronely fees, harass or threaten another user, attempt unauthorized system access, upload malware, manipulate reviews, abuse payment systems, collect personal information without authorization, post unlawful jobs, circumvent Platform security, or otherwise misuse the Platform.
20. Intellectual Property
20.1The Dronely Platform, including its software, design, branding, logos, graphics, interfaces, features, and original content, is owned by or licensed to Dronely.
20.2Except as expressly permitted, you may not copy, reverse engineer, modify, create derivative works from, scrape, commercially exploit, or interfere with the Platform or Dronely branding.
21. No Circumvention of Dronely Fees
21.1Users may not intentionally circumvent Dronely’s 10% service fee by moving a transaction originating through Dronely outside the Platform solely for the purpose of avoiding Dronely’s applicable fee.
21.2Dronely may suspend or terminate accounts that intentionally engage in fee circumvention, subject to applicable law.
22. Third-Party Services
22.1Dronely may integrate with third-party services including Stripe, insurance providers, verification providers, hosting providers, analytics providers, communication providers, mapping providers, security providers, and other technology providers.
22.2Third-party services may have their own terms and privacy policies. Dronely is not responsible for third-party services to the maximum extent permitted by law.
23. No Guarantee of Work
23.1Dronely does not guarantee that a Client will find a Service Provider, a Service Provider will obtain work, a particular job will be awarded, a job will be completed, a particular price will be accepted, a user will receive a particular amount of income, a Service Provider will satisfy every legal requirement, insurance will be available, or the Platform will always be available.
24. Future Subscription Services
24.1Dronely may introduce paid subscription plans or premium features.
24.2If subscription services are introduced, Dronely will disclose applicable pricing, billing frequency, renewal terms, cancellation procedures, features, and additional terms before charging users.
25. Disclaimer of Warranties
25.1To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis.
25.2Dronely disclaims warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
25.3Dronely does not warrant that the Platform will be uninterrupted, error-free, secure, or free from harmful components.
26. Limitation of Liability
26.1To the maximum extent permitted by law, Dronely and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Platform.
26.2To the maximum extent permitted by law, Dronely’s total liability arising out of or related to the Platform will not exceed the greater of the amount you paid to Dronely during the six months preceding the event giving rise to the claim or $100.
26.3Some jurisdictions may not permit certain limitations, so portions of this section may not apply.
27. Indemnification
27.1To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Dronely and its owners, officers, employees, contractors, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the Platform, violation of these Terms, User Content, business activities, violation of law, transactions with other users, or infringement of another person’s rights.
28. Account Suspension and Termination
28.1Dronely may suspend, restrict, or terminate an account if we reasonably believe these Terms have been violated, false information has been provided, fraud has occurred, a user presents a safety, legal, financial, or security risk, Platform abuse has occurred, or suspension is reasonably necessary to protect Dronely or its users.
29. Disputes Between Users
29.1Dronely is generally not a party to agreements between Clients and Service Providers.
29.2Users are responsible for resolving disputes concerning job performance, deliverables, pricing, deadlines, cancellations, rescheduling, quality of work, and other service-related matters. Dronely may provide optional dispute assistance but is not obligated to resolve user disputes.
30. Disputes With Dronely
30.1Any dispute between you and Dronely arising from or relating to these Terms or the Platform will be governed by the laws of the State of California, without regard to conflict-of-law principles.
30.2[Insert final dispute-resolution provision after attorney review — e.g., court jurisdiction or arbitration.]
30.3Nothing in these Terms prevents either party from seeking relief that cannot legally be waived.
31. Privacy
Your use of Dronely is also governed by the Dronely Privacy Policy.
32. Changes to These Terms
32.1Dronely may update these Terms from time to time. Material changes may be communicated through the Platform, email, account notifications, or other reasonable methods.
32.2Your continued use of Dronely after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
33. Severability
33.1If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
